Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Menuly platform, including the website at menuly.pk, the portal at portal.menuly.pk, and all associated subdomains and services (collectively, the "Service"), operated by Menuly ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and complete
• Maintain the security of your password and accept all risks of unauthorized access to your account
• Notify us immediately if you suspect unauthorized use of your account

You are solely responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Use the Service in any way that violates applicable local, national, or international laws or regulations
• Upload, post, or transmit any content that is unlawful, defamatory, obscene, fraudulent, or otherwise objectionable
• Upload content that infringes on the intellectual property rights of others, including copyrighted images or 3D models
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to other users' accounts, our systems, or any related networks
• Use the Service to distribute malware, spam, or any other harmful content
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, crawl, or use automated means to access the Service without our prior written consent
• Use the Service to create menus for illegal or prohibited products or services

4. Content Ownership and License

4.1 Your Content

You retain ownership of all content you upload, submit, or display through the Service ("Your Content"), including but not limited to restaurant information, menu items, images, 3D models, and theme customizations.

By uploading content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

4.2 Content Responsibility

You are solely responsible for Your Content. You represent and warrant that:

• You own or have the necessary rights and permissions to use and share Your Content
• Your Content does not infringe on any third party's intellectual property or other rights
• Your Content complies with all applicable laws and regulations
• Menu information (prices, allergens, dietary information) is accurate and kept up to date

4.3 Our Content

The Service, including its design, features, code, logos, and trademarks, is owned by Menuly and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without our prior written consent.

5. Public Menus and QR Codes

When you publish a menu through the Service, it becomes publicly accessible via a unique URL and QR code. You acknowledge that:

• Published menu content (restaurant name, menu items, images, 3D models, pricing) is visible to anyone with the menu URL or QR code
• You are responsible for the accuracy of all published menu information, including pricing and allergen data
• We are not liable for any errors, inaccuracies, or misrepresentations in your published menu content

6. AI-Generated 3D Models

6.1 How It Works

Menuly offers an AI-powered 3D model generation feature that allows restaurant owners to create three-dimensional representations of menu items from uploaded photographs. This feature is powered by a third-party AI generation service. By using this feature, you acknowledge that:

• 3D model generation is performed by automated AI systems and results are inherently variable in quality, accuracy, and visual fidelity
• Generated models are approximations based on the photographs you provide; the output depends heavily on the quality, lighting, angle, and clarity of your source images
• Generated models may not perfectly represent the actual appearance, proportions, or details of the food item
• We do not guarantee that generated models will meet your aesthetic expectations or any specific quality standard

6.2 Trial Tokens

Each new account is granted four (4) complimentary trial generation tokens at no charge. These tokens exist specifically so you can evaluate the quality and suitability of AI-generated 3D models for your use case before making any purchasing decision. We strongly encourage you to use your trial tokens to assess the feature before purchasing additional tokens.

6.3 Purchased Tokens — No Refund Policy

Each generation attempt consumes one token, regardless of whether the resulting model meets your expectations. Once a token is consumed (i.e., a generation has been initiated), it is non-refundable. This applies to both trial tokens and any tokens purchased separately.

Given that four free trial tokens are provided precisely to allow you to evaluate the AI generation quality before any financial commitment, we do not issue refunds for purchased tokens that have been consumed, regardless of satisfaction with the resulting model. By purchasing tokens and initiating a generation, you accept these terms and the inherently variable nature of AI-generated outputs.

Unconsumed purchased tokens may be eligible for a refund at our discretion if requested within 7 days of purchase. To request a refund of unconsumed tokens, contact us at hello@menuly.pk with your account details and purchase reference.

6.4 Image Requirements and Your Responsibility

You are responsible for providing clear, well-lit photographs to achieve the best possible generation results. By submitting images for 3D generation, you confirm that:

• You own or have the rights to use the submitted images
• You consent to the submitted images being transmitted to our third-party AI processing service solely for the purpose of generating the 3D model
• The submitted images do not contain any personal data, identifying information, or content that violates any third party's rights

6.5 Ownership of Generated Models

3D models generated through this feature are provided for your use within the Menuly platform. You may use generated models on your published Menuly menus. We retain no claim to generated models produced from your content, subject to the license granted in Section 4.1.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Any defects or errors will be corrected in a timely manner
• The Service will meet your specific requirements
• The AR and 3D model viewing features will work on all devices or browsers

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MENULY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claims arising from the use of the Service shall not exceed the amount you have paid us, if any, in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Menuly and its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your Content, including any claims that Your Content infringes on the rights of third parties
• Inaccurate menu information, including allergen data, that causes harm to end customers

10. Service Modifications and Termination

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the Service.

We may terminate or suspend your account at our sole discretion if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

11. Third-Party Services

The Service integrates with third-party services, including cloud storage providers, content delivery networks, 3D model rendering libraries, and AI-powered generation services. Your use of these integrated services is subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or output quality of any third-party services.

In particular, our AI-powered 3D model generation feature transmits your submitted food photographs to a third-party AI processing service for the sole purpose of generating the requested 3D model. These images are processed according to that service's terms and are not used for any other purpose by Menuly. We do not disclose the identity of our AI provider as it may change over time as we evaluate and improve the quality of generated outputs.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Pakistan.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically to stay informed of any updates.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.
